End User License Agreement

Effective Date: June 12, 2026

This End User License Agreement ("Agreement") is a contract between you and Level Lab, Inc. ("Level Lab", "we", "us", "our"). It governs your access to and use of the Level Lab platform, including the website, applications, tools, and AI-assisted features (the "Service"). Please read it carefully.

Acceptance

By accessing or signing in to the Service, you agree to this Agreement and to our Privacy Policy. If you do not agree, do not use the Service. If you are under 13, a parent or legal guardian must set up and approve your account, and by approving it they accept this Agreement on your behalf.

Eligibility and Accounts

You may create an account if you are 13 or older. Children under 13 may use the Service only through a guardian-managed account. Some countries set a higher minimum age for using online services or for consenting to data processing; where that applies, you must meet your local minimum age or be covered by the guardian process described here and in our Privacy Policy. You are responsible for activity on your account and for keeping access to your email secure, since sign-in uses email magic links. Guardians are responsible for the accounts they manage.

License to Use the Service

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for creating, sharing, and playing games in accordance with this Agreement. We may update, suspend, or discontinue any part of the Service at any time.

Your Content

You keep ownership of the projects, assets, and other content you create or upload ("Your Content"). You grant Level Lab a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process Your Content as needed to operate and improve the Service, including publishing it to others when you choose to share or publish a project. You are responsible for Your Content and for having the rights to use anything you upload. Your Content does not include Provided Assets or other materials we or our licensors make available to you, which remain owned by us or our licensors and are licensed to you only as described in this Agreement.

AI-Generated Assets

The Service can generate images, audio, models, scripts, and other assets from your prompts using third-party AI providers. As between you and Level Lab, assets you generate are treated as Your Content, subject to the AI providers' own terms. AI output may be imperfect, may resemble output produced for others, and is not guaranteed to be unique, accurate, or free of third-party rights. You are responsible for reviewing generated assets and for how you use them, and you must not use the Service to generate content that is illegal, infringing, or otherwise prohibited below. You may not use AI features to reproduce or derive new assets from Provided Assets, or to circumvent the restrictions in the Provided Assets section.

Provided Assets

The Service includes 3D models, textures, materials, sounds, templates, and other assets that we or our third-party licensors make available for use inside your projects ("Provided Assets"). Provided Assets are licensed, not sold, and remain the property of Level Lab or its licensors; we grant you a limited license to use them solely as integrated components of projects you create and share on the Service. Some Provided Assets are licensed from third parties and credited within the Service, and your use of them is also subject to those licenses.

You agree not to, and not to help or permit anyone else to: redistribute Provided Assets as standalone files; export, download, extract, rip, or otherwise separate Provided Assets from a project, or obtain them in any reusable or redistributable form, except as part of using them within a project on the Service; sell, sublicense, or resell Provided Assets as assets, or include them in any asset pack, library, template, or tool whose primary value is the assets themselves; use Provided Assets to train AI or machine-learning models or to build datasets; use Provided Assets to create NFTs or other blockchain-based assets; or claim Provided Assets, or any modified version of them, as your own original creation. These restrictions are required by the licenses under which we provide the assets and continue to apply to any project that includes Provided Assets, even after you stop using the Service. We use technical measures to protect Provided Assets, and you must not bypass, disable, or circumvent them.

Acceptable Use

You agree not to use the Service to: create or share content that is illegal, infringing, hateful, harassing, sexually explicit, or harmful to minors; attempt to bypass safety, moderation, or rate-limiting systems; reverse engineer, scrape, or overload the Service; extract, bulk-download, or circumvent the protections on Provided Assets, or attempt to obtain them outside their intended in-project use; access another user's account or data without permission; or use the Service to build a competing product. We may review, moderate, restrict, or remove content and accounts that violate these rules.

Intellectual Property

The Service itself -- including its software, design, branding, and provided content libraries -- is owned by Level Lab or its licensors and is protected by intellectual property laws. Some content libraries are licensed from third parties; your use of those assets is also governed by the Provided Assets section above. Except for the license granted to you here, we reserve all rights. The Level Lab name and logo may not be used without our permission.

Copyright Complaints

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact us with enough detail to identify the work and the allegedly infringing material, and we will review and respond, including by removing infringing content where appropriate. We may also remove content and terminate accounts of users who repeatedly infringe.

Feedback

If you send us ideas or suggestions, you grant us the right to use them without restriction or obligation to you.

Third-Party Services

The Service relies on third parties for authentication, storage, and AI generation. Your use of those features may also be subject to the third parties' terms, and we are not responsible for their services.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service or any AI-generated output will be uninterrupted, error-free, accurate, or suitable for your needs.

Limitation of Liability

To the fullest extent permitted by law, Level Lab will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the 12 months before the claim.

Indemnification

You agree to indemnify and hold Level Lab harmless from claims, damages, and expenses arising out of Your Content or your misuse of the Service or violation of this Agreement.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate this Agreement or to protect the Service or its users. Guardians may delete a managed child's account. On termination, the licenses you grant us for content already shared publicly may continue as needed to operate the Service, and the restrictions on Provided Assets continue to apply.

Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will notify you through the platform. Continuing to use the Service after changes take effect means you accept the updated Agreement.

Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where your local law requires otherwise.
